Registration and publication of documents

Section 494 sets out the requirements for registering and publicising the common draft terms of division with the Companies Registration Office, including filing obligations, newspaper notices, and an alternative website publication option.

  • Each company in a division must file the board-approved common draft terms of division and a prescribed notice (with company name, registered office, legal form, and registered number) with the Registrar
  • Notice of the filing must be published in the CRO Gazette and in a national daily newspaper at least 30 days before the members' resolution on the division
  • The published notice must state when documents were filed, the company details, where members can inspect key documents (including the draft terms, directors' report, financial statements, and any expert's report), and that a copy of the draft terms is available from the Registrar
  • A company may instead publish the draft terms free of charge on its website for at least two continuous months (starting 30 days before and ending 30 days after the relevant general meeting), provided it also advertises this in the CRO Gazette and in two local daily newspapers
