Record date for participation and voting in general meeting

Section 1087G sets out how the record date for shareholder participation and voting at general meetings of a relevant issuer is determined, including the rules that apply when a meeting is adjourned.

  • The record date for a general meeting of a relevant issuer must be set at the close of business on the day before a date no more than 72 hours before the meeting.
  • When a meeting is adjourned, the record date for the adjourned meeting normally stays the same as for the original meeting.
  • If a meeting is adjourned for 14 days or more and notice of the adjourned meeting is given to members, a new record date must be set.
  • The new record date for such an adjourned meeting is the close of business on the day before a date no more than 72 hours before the adjourned meeting.
