Duty of persons acting together to keep each other informed

Section 1057 requires parties to a share acquisition agreement involving a PLC to keep each other informed about their individual shareholdings, changes in those holdings, and their contact details.

  • When you are party to a share acquisition agreement relating to relevant share capital of a PLC, and you know these facts, you must notify all other parties in writing of your own interests in the company's shares (held outside the agreement)
  • The notification must include the number of shares you hold and, so far as you are aware, details of the registered ownership of those shares, along with any subsequent changes to that registered ownership
  • You must also provide your current address to every other party when you first become subject to these requirements and notify them of any change of address thereafter
  • All notifications required under this section must be made in writing within five days of the obligation arising
