Registration of order and minute of reduction

Section 86 sets out the procedure for registering a court order confirming a reduction of company capital and the accompanying minute with the Registrar, and explains the legal effect of that registration.

  • The Registrar must register the court order and an approved minute detailing the revised share capital, number of shares, amount per share, and amount paid up on each share.
  • The capital reduction resolution only takes effect once the order and minute have been registered β€” not before.
  • The Registrar issues a certificate of registration which serves as conclusive evidence that all legal requirements for the capital reduction have been met.
  • Once registered, the minute replaces the corresponding part of the company's constitution and can be amended as if it were an original part of that constitution.
