Interpretation generally (Chapter 4)

Section 837 sets out the definitions of key terms used throughout Chapter 4, which deals with disqualification of directors and other officers.

  • "Company" is broadly defined to include all companies and any body, whether incorporated or not, that may be wound up under the Act
  • "Court" means the High Court or any other court of competent jurisdiction dealing with a person in criminal or civil proceedings, in the context of disqualification orders made on the court's own initiative
  • "Officer" includes any director, shadow director or secretary of a company, and a "default order" is one made against a person for failing to comply with filing or notification requirements owed to the Registrar
  • "Relevant requirement" covers any provision of the Act, including repealed provisions, requiring returns, accounts, documents or notices to be filed with or sent to the Registrar
