Application for confirmation of merger by court

Section 1141 sets out the requirements for applying to the court to confirm a merger, including who must make the application and what information must accompany it.

  • All merging companies must apply jointly to the court for an order confirming the merger β€” no single company can apply on its own.
  • The application must include a statement showing the size of the shareholding of any shareholder who has asked for their shares to be purchased under Section 1140.
  • The application must also set out the steps the successor company intends to take to satisfy that shareholder's purchase request.
  • This provision originates from the European Communities (Mergers and Division of Companies) Regulations 1987 (S.I. No. 137 of 1987).
