Companies Act 2014 section 1069

Where register to be kept, inspection of register, inspection of reports, etc.

Section 1069 applies the standard rules on keeping and inspecting company registers to the individual and group acquisitions register and share interest investigation reports maintained by a public limited company (PLC).

  • The general register inspection rules in the Companies Act are extended to cover the PLC's register of interests in shares and any investigation reports into those interests.
  • The register must be open and accessible to anyone attending the PLC's annual general meeting, from at least 15 minutes before the meeting starts and throughout its duration.
  • Investigation reports must be made available for inspection within a reasonable period, being no more than 15 days after the investigation concludes or the relevant reporting period ends.
  • Once made available, each investigation report must remain open for inspection for a period of six years from the day after it was first made available.
