Alternate directors

Section 165 deals with the appointment, rights, and revocation of alternate directors who may act as substitutes for existing company directors.

  • A director may appoint one alternate director at a time β€” either another existing director or, with majority board approval, any other person
  • The alternate director is entitled to receive notice of board meetings, attend them, and vote in place of the appointing director
  • The alternate director has no entitlement to separate remuneration and may only be paid out of the appointing director's own remuneration
  • The appointment may be revoked at any time by the appointing director, by a majority of the other directors, or by the company in general meeting
