Application of Parts 1 to 14 to DACs

Section 964 explains how the general company law rules in Parts 1 to 14 of the Companies Act 2014 apply to Designated Activity Companies (DACs), and identifies specific provisions that are switched off for DACs.

  • The general rules in Parts 1 to 14 apply to DACs, but subject to modifications and disapplication as set out in this section and elsewhere in Part 16.
  • References to "a company" in Parts 2 to 14 are read as references to a DAC, unless the Act expressly states otherwise.
  • A table of disapplied provisions lists twelve specific sections that do not apply to DACs, covering matters such as formation, naming, constitutional format, corporate capacity, directors, and members' liability as contributories.
  • Where a provision is disapplied by the table, any related consequential or supplemental provisions in Parts 1 to 14 are also automatically disapplied, even if not expressly listed in the table.
