Registration of charges created prior to commencement of this Part

Section 419 provides transitional rules ensuring that charges created before Part 7 of the Companies Act 2014 came into force continue to be governed by the registration provisions of the Companies Act 1963.

  • Charges created before Part 7 commenced remain subject to the registration rules in the Companies Act 1963 (sections 99–106, 108–110 and 112)
  • If the deadline for registering a pre-commencement charge had not yet expired when Part 7 came into force, the 1963 Act rules still apply to that registration
  • Where a court order had already extended the registration deadline under section 106 of the 1963 Act, the extended deadline is also preserved
  • A court could grant an extension under section 106 only where the delay in registration was accidental or due to inadvertence and the extension would not prejudice any other party
