Companies Act 2014 section 1160

Electronic means of making certain information available for purposes of section 1159

Section 1160 allows a company involved in a division to use electronic means β€” email or its website β€” to provide shareholders with the required division documents, subject to certain conditions around timing and website availability.

  • Where a shareholder has consented to electronic communications, the company may send the division documents by email, and the general meeting notice must state this.
  • If the division documents are made available for free download and printing on the company's website for the required period, the company need not separately provide free paper copies to shareholders on request.
  • The documents must be continuously available on the website for at least two months, starting at least 30 days before the general meeting to approve the draft terms of division and ending at least 30 days after that meeting.
  • If the website is disrupted for a continuous period of at least 24 hours, or for separate periods totalling 72 hours or more, the required availability period is extended by the length of the disruption.
