Publication of resolution to wind up voluntarily

Section 581 requires a company that has passed a resolution for voluntary winding up to publicly advertise that resolution in the Iris OifigiΓΊil within 14 days, and sets out the consequences for failing to do so.

  • Once a company passes a resolution for voluntary winding up β€” whether through the Summary Approval Procedure or through the procedure for companies of fixed duration β€” it must publicly advertise the resolution within 14 days.
  • The advertisement must be placed in the Iris OifigiΓΊil, which is Ireland's official gazette.
  • Failure to comply is a category 3 offence, applying to both the company and any officer in default.
  • For the purposes of this requirement, the liquidator of the company is treated as an officer and is therefore equally liable for any failure to advertise the resolution.
