Interpretation and application

Section 1110F defines key terms used in the chapter dealing with shareholder engagement obligations for institutional investors and asset managers whose competent Member State is Ireland.

  • An "engagement activity" is any action, plan or document carried out or created to give effect to an engagement policy.
  • A "relevant asset manager" is one that invests in shares traded on a regulated market on behalf of investors and for whom Ireland is the competent Member State under the Shareholders' Rights Directive.
  • A "relevant institutional investor" is one that invests β€” directly or through an asset manager β€” in shares traded on a regulated market and for whom Ireland is the competent Member State under the Shareholders' Rights Directive.
  • Any term used in this chapter that also appears in the Shareholders' Rights Directive carries the same meaning as in that Directive, unless the context requires otherwise.
