Way of forming an unlimited company

Section 1231 sets out the ways in which an unlimited company may be formed, whether by fresh registration, re-registration of an existing body corporate, merger, or division.

  • An unlimited company may be formed for any lawful purpose by one or more persons subscribing to a constitution and complying with the relevant registration requirements.
  • An existing body corporate may be re-registered or registered as an unlimited company under the conversion or transition provisions of the Act.
  • An unlimited company may come into existence through the merger of two or more companies.
  • An unlimited company may also arise from the division of an existing company into separate entities.
