Documentary evidence

Section 884 establishes the rules for how documents prepared or submitted under the Companies Act 2014 are treated as evidence, including presumptions about signatures, authorship, and the admissibility of certified copies from official bodies.

  • A document prepared under the Act and appearing to be signed by a person is presumed to have been signed by that person unless evidence to the contrary is produced
  • A document submitted on behalf of a person is presumed to have been submitted by that person unless they can prove it was done without their knowledge or consent
  • Certified copies or extracts of documents held by the Corporate Enforcement Authority, the Minister, an inspector, or the Central Bank are admissible in court proceedings with the same evidential weight as the originals, without needing to prove the official position of the certifying person
  • A document appearing to have been created by a person is presumed to be their work, and any statements within it are presumed to be theirs unless the document expressly attributes a statement to someone else
