Limitation on number of directorships

Section 1195 limits the total number of directorships a person may hold where one or more of those directorships is in a company limited by guarantee (CLG).

  • No person may hold more than 25 directorships in companies limited by guarantee at any one time.
  • The 25-directorship cap also applies to any mix of CLGs and other company types capable of being wound up under the Act.
  • The limit applies regardless of whether all 25 companies are CLGs or a combination of CLGs and other types of company.
  • This provision modifies the general directorship limit in section 142 specifically for the purposes of CLGs under Part 18 of the Act.
