Summoning general meetings of the company, etc.

Section 628 deals with the liquidator's power to call meetings of various parties during the winding up of a company.

• A liquidator may summon general meetings of the company's members, meetings of creditors, or meetings of any committee of inspection that exists.
• These meetings may be called to obtain formal approval by resolution from members, creditors, or the committee of inspection for particular actions or decisions.
• The liquidator may also call such meetings for any other purpose he or she considers appropriate, including situations not specifically covered elsewhere in the Act.
• This provision makes explicit powers that were most likely already implied under the previous Companies Act 1963, broadening the earlier legislation which referred only to general meetings of the company.
