Statutory auditors' report on statutory financial statements

Section 336 sets out the required form and content of the statutory auditors' report on a company's statutory financial statements, covering identification, opinions, confirmations, and qualifications.

  • The auditors' report must be in writing, identify the financial statements being audited, the reporting framework used, the auditing standards followed, and the auditors' place of establishment.
  • Auditors must give a clear opinion on whether the financial statements present a true and fair view and comply with the relevant financial reporting framework and the Companies Act.
  • The report must confirm that auditors received all necessary information, that accounting records were adequate, that the directors' report is consistent with the financial statements, and must address any going concern uncertainties.
  • Each opinion in the report must be either unqualified or qualified (which may extend to an adverse opinion or disclaimer), and where multiple auditors are involved, they must submit a joint report or explain any disagreement separately.
