Voting on resolutions at general meeting during interim period

Section 195A sets out special rules for how votes on resolutions are conducted at general meetings held during the interim period, particularly where the company has indicated that poll voting will be required or where the meeting is conducted using electronic communication technology.

  • Where a company has stated in its meeting notice that all resolutions will be decided by poll, every resolution at that meeting must be voted on by poll.
  • When poll voting is required under this section, the usual rules on demanding a poll under section 189 do not apply.
  • At meetings held using electronic communication technology during the interim period, the chairperson may permit a show-of-hands vote on a resolution.
  • A show of hands is only permitted if the chairperson is satisfied they can identify eligible voters and verify the voting instructions for the resolution.
