Companies Act 2014 section 1243

Application of section 1018 to PUCs and PULCs

Section 1243 extends the rules on official seals for sealing securities to public unlimited companies (PUCs) and public unlimited companies with a share capital (PULCs), in the same way those rules apply to public limited companies (PLCs).

  • PUCs and PULCs may have an official seal specifically for sealing securities, just as PLCs can.
  • This official seal must be a facsimile of the company's common seal, with the word "Securities" or "UrrΓΊis" on its face.
  • The securities seal can only be used for sealing securities and documents of a similar nature β€” it cannot be used for other purposes such as sealing contracts.
  • This section re-enacts existing law and ensures consistent treatment across all public company types regarding the use of a securities seal.
