Trading under a misleading name

Section 1009 prohibits non-PLC entities from trading under names that suggest PLC status, and prohibits PLCs from using names that misrepresent their company type.

  • No entity other than a PLC may carry on business under a name ending with "public limited company", "cuideachta phoiblΓ­ theoranta", or abbreviations of those words
  • A PLC must not use a name that could give the impression it is any type of company other than a PLC, where its PLC status would be material to any person
  • Breach of either prohibition is a category 3 offence, applying to the entity or individual concerned and any officer in default
  • An exemption applies to external companies (under Part 21) whose constitution would entitle them to rank as a PLC if they had been registered in the State
