"Registration documents" β€” meaning

Section 1409 defines what "registration documents" means in the context of a foreign investment company seeking to migrate and register in Ireland.

  • A migrating company must provide certified copies of its foreign registration certificate and its constitutional documents, along with details of its directors and secretary.
  • A director must make a statutory declaration (no more than 28 days before the application) confirming the company is solvent, not subject to winding up or receivership, has notified its creditors, and has obtained all necessary consents for the migration.
  • The company must also submit a declaration of solvency, a schedule of charges or security interests, notification of any proposed name change, and a copy of the memorandum and articles it intends to adopt upon Irish registration.
  • Where any original document is not in Irish or English, a certified translation into one of those languages must be provided by a competent person.
