Directors

Section 128 sets out the minimum number of directors a company must have and the consequences of failing to meet this requirement.

  • Every company must have at least one director.
  • If a company fails to have at least one director for 28 consecutive days, it commits a category 3 offence.
  • Any officer of the company who is in default during that period also commits a category 3 offence.
  • This represents a change from the previous requirement under the Companies Act 1963, which required all companies to have a minimum of two directors.
