Companies Act 2014 section 1429

Deemed consent to disclosure with respect to interest in shares or debentures acquired

Section 1429 establishes that anyone who acquires an interest in shares or debentures of an Irish-registered company is automatically deemed to have consented to the disclosure of information about those shares or debentures as required under the Companies Act 2014.

  • Acquiring an interest in shares or debentures of an Irish-registered company triggers an automatic deemed consent to disclosure.
  • The deemed consent covers any information that is required to be disclosed under the Companies Act 2014 in relation to those shares or debentures.
  • The disclosure may be made by the person who acquired the interest, by their agents, or by their intermediaries.
  • No separate or explicit consent is needed β€” the act of acquiring the interest itself is treated as consent.
