Reinstatement as PLC confined to company which had such status before dissolution

Section 1125 restricts the restoration of a dissolved company to the register as a public limited company (PLC) to cases where the company held PLC status immediately before its dissolution.

  • A company that has been dissolved under the Companies Act 2014 or any earlier Companies Acts may apply to be restored to the register.
  • However, restoration as a PLC is only permitted if the company was already a PLC immediately before it was dissolved.
  • A company that held a different status (for example, a private limited company) at the time of dissolution cannot be restored as a PLC.
  • This provision prevents companies from upgrading their status to PLC through the restoration process.
