Details of authorised share capital, allotted share capital and movements

Section 318 sets out the information that must be disclosed in the notes to a company's financial statements regarding its share capital, including authorised and allotted share capital, redeemable shares, share allotments during the year, contingent rights to shares, and shares held by subsidiaries.

  • Companies must disclose in their notes the number and nominal value of authorised shares, allotted shares by class, amounts called up and paid up, an analysis distinguishing shares presented as equity from those presented as a liability, and details of any treasury shares held.
  • Where redeemable shares have been allotted, the company must disclose the redemption dates, whether redemption is mandatory or at the option of the company or shareholder, and any premium payable on redemption.
  • Shares allotted during the year require disclosure of the reason for allotment, the classes and numbers allotted, their nominal value, the consideration received, and their balance sheet classification; contingent rights (such as share options or conversion rights) must also be disclosed with details of the shares involved, the exercise period, and the price payable.
  • Holding companies must disclose shares held by subsidiary undertakings or their nominees (with exceptions for subsidiaries acting as personal representatives or trustees), and companies qualifying for the small or micro companies regime are exempt from all of these requirements.
