Directors

Section 1257 sets out the minimum number of directors required for an unlimited company and confirms that sole director provisions do not apply to such companies.

  • An unlimited company must have a minimum of two directors at all times.
  • This requirement follows the CLRG recommendation that all company types except the new model private company (LTD) should retain a two-director minimum.
  • Provisions in Parts 1 to 14 of the Act that deal with sole director companies do not apply to unlimited companies.
  • Even if unforeseen circumstances reduce an unlimited company to one director, the sole director provisions available to other company types cannot be relied upon.
