Return to be made to Registrar under section 116(1)

Section 1079 deals with the special reporting requirements that apply when a public limited company (PLC) buys back its own shares on an overseas market, including a shorter filing deadline and additional disclosure of pricing information.

  • When a PLC purchases its own shares on an overseas market, it must file a return with the Registrar within 3 days of delivery of those shares, rather than the standard 30-day deadline that normally applies under section 116
  • The return must state the total aggregate amount the PLC paid for the shares purchased
  • The return must also disclose the maximum and minimum prices paid for each class of shares purchased
  • Where shares are delivered on different dates or under different contracts, the PLC may combine them into a single return, in which case the aggregate amount stated must cover all shares included in that return
