Companies Act 2014 section 633

Qualifications for appointment as liquidator or provisional liquidator β€” general

Section 633 sets out the professional qualifications and experience required for a person to be appointed as a liquidator or provisional liquidator of a company, establishing five categories of eligible persons.

  • Only persons falling within one of five qualifying categories may be appointed as liquidator: members of prescribed accountancy bodies, practising solicitors, members of other recognised professional bodies, persons qualified under EEA law, or persons with relevant practical experience authorised by the Supervisory Authority
  • A person who does not fall within the first four categories but has applied to the Supervisory Authority under the fifth category may continue to act as liquidator while that application is being determined
  • The Supervisory Authority may request written evidence from any person who is or seeks to be qualified as a liquidator to prove compliance with the qualifying requirements, and failure to comply without just cause is a category 4 offence
  • A person appointed as liquidator before this section commenced may continue in that role even if their application under the fifth category is subsequently refused by the Supervisory Authority
