Companies Act 2014 section 1199

Membership

Section 1199 sets out the rules governing membership of a Company Limited by Guarantee (CLG), including how members are admitted, how membership may be terminated, and the obligations on the company to notify the Registrar of increases in membership numbers.

• Subscribers to the memorandum automatically become members; other persons may be admitted by the directors or in accordance with the company's constitution, and must be entered in the register of members
• The articles must state the proposed number of members, and if membership increases beyond that registered number, the company must notify the Registrar within 15 days or face a category 4 offence
• A member may resign by serving notice on the directors, and unless the constitution provides otherwise, the directors may also terminate a member's membership by serving notice on that member
• Each member has one vote unless the constitution states otherwise, and membership is automatically terminated on the death or bankruptcy of a member
