Delivery of documents in electronic form may be made mandatory

Section 897 empowers the Minister to require that documents filed with the Registrar of Companies under specified provisions of the Act must be delivered exclusively in electronic form.

  • The Minister, after consulting with the Registrar, may order that electronic filing become the sole permitted method of delivering documents to the Registrar under any specified provision of the Act.
  • Where such an order is made, the only acceptable delivery method is that provided for under the Electronic Commerce Act 2000, and all other means of delivery are excluded.
  • A single order may cover more than one provision or even all provisions of the Act, giving the Minister broad flexibility in mandating electronic filing.
  • Electronic delivery must comply with any technical or procedural requirements set by the Registrar, as permitted under the Electronic Commerce Act 2000.
