Votes of members

Section 1206 sets out the rules governing how members of a company limited by guarantee (CLG) may vote at general meetings, modifying the standard voting provisions to suit the guarantee company structure.

  • Each member present in person and each proxy has one vote, whether on a show of hands or a poll, but no individual member may have more than one vote
  • The standard provision in Section 188(3), which relates to voting rights linked to shares, is removed entirely as it is not relevant to guarantee companies
  • A member cannot vote at any general meeting unless all moneys immediately payable by that member to the company have been paid
  • These modifications adapt the general voting rules to reflect the fact that CLG members do not hold shares and therefore have equal voting rights
