Other interests of directors

Section 229 deals with the ability of a director to hold positions or interests in other companies connected to the company on whose board they serve, and what happens to any remuneration they receive from those other roles.

  • A director may serve as a director or officer of another company that is promoted by, or in which, the first company has an interest, unless the first company's constitution says otherwise.
  • This permission does not override the principal fiduciary duties of directors set out in section 228.
  • A director is not required to hand over to the first company any remuneration or benefits received from such roles in the second company.
  • The first company can, however, direct that the director must account to it for any such remuneration or benefits.
