Length of notice of general meetings to be given by traded PLC

Section 1102 sets out the minimum notice periods that a traded public limited company (PLC) must give when calling general meetings, including circumstances in which a shorter notice period is permitted.

  • A traded PLC must give at least 21 days' notice for any general meeting, whether annual or extraordinary, other than an adjourned meeting.
  • The notice period may be reduced to 14 days for meetings that are not AGMs or EGMs convened to pass special resolutions, provided the company offers electronic voting to all voting shareholders and a special resolution approving the shorter notice period was passed at the last AGM or a subsequent general meeting.
  • Under the Bank Recovery and Resolution Regulations, a traded PLC may call a general meeting on even shorter notice (but not less than 10 calendar days) to decide on a capital increase needed to avoid triggering resolution conditions, provided a two-thirds majority approves.
  • Where the short-notice bank resolution provisions apply, certain requirements relating to agenda notice obligations and record date entries for shareholders are disapplied.
