Votes of members

Section 188 sets out the rules governing how members of a company may vote at general meetings, including voting methods, joint holders, incapacitated members, and voter qualifications.

  • On a show of hands each member present (or proxy) has one vote; on a poll each member has one vote per share held or per €15 of stock
  • Where shares are jointly held, only the senior holder (determined by the order of names in the register of members) may cast a vote
  • Members who lack mental capacity or who have granted an enduring power of attorney may vote through an appointed representative such as a committee, donee, receiver, or guardian
  • A member cannot vote at a general meeting unless all calls and other sums immediately payable on their shares have been paid in full
