Supplementary provisions in relation to board of directors

Section 908 deals with supplementary rules governing the board of directors of the Irish Auditing and Accounting Supervisory Authority (IAASA), including how directors resign, how they may be removed, how vacancies are filled, and who is disqualified from serving on the board.

  • Directors resign by letter to the Minister, effective on receipt; the Minister may also remove any director for stated reasons
  • Replacement directors are appointed in the same manner as the director they replace and serve only the remainder of that director's term on the same conditions
  • The board may continue to act even if there are vacancies among its members
  • Members or candidates for the Oireachtas, European Parliament, or local authorities are disqualified from board membership, and sitting board members must vacate office if they take on such roles
