Power of Registrar to strike PLC off register

Section 1124 sets out the Registrar's power and procedure for striking a public limited company (PLC) off the register where it has failed to obtain a trading certificate within one year of its incorporation.

  • A PLC that has not obtained a trading certificate (under section 1010) within one year of its registration may be struck off the register by the Registrar, in addition to the general strike-off grounds available under section 725
  • The Registrar must first send a formal notice by registered post to the PLC's registered office (and by ordinary post to its directors), warning that strike-off proceedings have begun and giving at least 28 days to obtain the certificate
  • If the PLC fails to obtain the certificate within the initial deadline, the Registrar may publish a notice in the CRO Gazette of the intention to strike off, again allowing at least 28 days to remedy the default before proceeding
  • Once struck off, the PLC is dissolved, but the standard provisions governing the effects of dissolution and the procedures for court-ordered restoration to the register continue to apply
