Companies Act 2014 section 317

Disclosures of particulars of staff

Section 317 sets out the requirements for companies to disclose information about their employees and staff costs in the notes to the financial statements.

  • Companies must disclose the average number of employees during the financial year, broken down by category chosen by the directors based on how the company's activities are organised.
  • Aggregate staff costs must be disclosed, split between wages and salaries, social insurance costs, retirement benefit costs, and other compensation costs specified by type, with a further split between amounts capitalised into assets and amounts treated as an expense or loss.
  • Companies qualifying for the small companies regime need only disclose the average number of employees, while companies qualifying for the micro companies regime are fully exempt from these requirements.
  • Where group financial statements are prepared, the employee disclosures must cover the parent company and all subsidiary undertakings included in the consolidation, taken as a whole.
