Companies Act 2014 section 825

Restricted person shall give notice to company before accepting appointment or acting as director or secretary

Section 825 requires a restricted person to notify a company in writing of their restricted status before they can accept an appointment or act as a director or secretary of that company.

  • A restricted person must not accept appointment or act as a director or secretary of a company without first giving written notice of their restricted status to that company.
  • The written notice must be sent to the company's registered office within the 14-day period immediately before the date the restricted person accepts the appointment or begins acting in the role.
  • A restricted person who accepts an appointment or acts as a director or secretary without having given the required written notice commits a category 3 offence, which carries serious penalties.
  • The term "company" in this section refers to any company mentioned in section 819(6), which covers the types of companies to which director restriction declarations apply.
