Companies Act 2014 section 198

Registration of, and obligation of company to supply copies of, certain resolutions and agreements

Section 198 sets out the requirements for registering certain company resolutions and agreements with the Registrar and for making copies available to company members.

  • Copies of specified resolutions and agreements must be delivered to the Registrar within 15 days of being passed or made, in the prescribed manner and form.
  • Any such resolution or agreement currently in force must be included in or attached to every copy of the company's constitution issued after it was passed or made.
  • The company must supply a copy of any such resolution or agreement to any member who requests one, for a fee of no more than €10.00.
  • Failure to comply with the filing, constitution inclusion, or member supply requirements is a category 4 offence, applying to the company and any defaulting officer, including a liquidator.
