Notice of general meetings

Section 181 sets out the minimum notice periods required for different types of company general meetings and specifies what information must be included in a meeting notice.

  • Annual general meetings and extraordinary general meetings for special resolutions require at least 21 days' notice; other extraordinary general meetings require at least 7 days' notice
  • A meeting may proceed on shorter notice if all members entitled to attend and vote agree, and the company's statutory auditors also agree (unless the company is exempt from audit)
  • Meeting notices must include the place, date and time, the nature of business to be transacted, proxy appointment rights, and β€” for electronic or hybrid meetings β€” full details of the electronic platform and procedures
  • Accidentally omitting to give notice to a person entitled to receive it, or non-receipt of a notice that was sent, does not invalidate the meeting unless the company's constitution states otherwise
