Companies Act 2014 section 1235

Supplemental provisions in relation to constitution referred to in section 1233 or 1234 and continuance in force of existing memorandum and articles

Section 1235 deals with the rules governing the articles of unlimited companies, including what those articles may contain, how default provisions operate, and how pre-existing memorandums and articles from earlier legislation are preserved.

• The articles of an unlimited company may contain its own regulations, or may simply adopt the provisions of the Companies Act 2014 by statement
• Where the articles do not exclude or modify an optional provision of the Act, that optional provision automatically applies to the company
• Memorandums and articles of unlimited companies registered before this section commenced remain in force, provided they do not conflict with any mandatory provision of the Act
• References in pre-existing memorandums, articles or regulations to provisions of the prior Companies Acts are to be read as references to the corresponding provisions of the Companies Act 2014
