Dealing by agent in shares or debentures subject to disclosure order

Section 817 deals with the obligations of a person who authorises an agent to buy or sell shares or debentures on their behalf, where those shares or debentures are subject to a disclosure order.

  • Where a person (the "principal") appoints an agent to acquire or dispose of interests in shares or debentures that are subject to a disclosure order, specific notification duties arise.
  • The principal must ensure the agent immediately notifies them of any purchases or sales of the relevant shares or debentures carried out by the agent.
  • This notification duty applies specifically to transactions that will or may trigger an obligation on the principal to provide information under the disclosure order.
  • The principal's duty to ensure the agent provides these notifications continues for the entire duration of the disclosure order.
