Authentication by company of documents

Section 48 deals with how a company can authenticate documents and who is authorised to sign them on the company's behalf.

  • A document or proceeding requiring authentication by a company may be signed by a director, secretary, registered person or other authorised officer.
  • There is no requirement for the company's common seal to be applied to the document.
  • The provision simplifies the authentication process by allowing any of the company's key personnel to sign.
  • The term "registered person" is included alongside the more traditional roles of director and secretary as an authorised signatory.
