Construction of references in other Acts to companies registered under Companies (Consolidation) Act 1908 and Act of 1963

Section 6 ensures that references in other legislation to companies registered under earlier Companies Acts are read as including companies registered under the Companies Act 2014.

  • When any other Act refers to a company formed or registered under the Companies (Consolidation) Act 1908 or the Companies Act 1963, that reference should be read as also covering a company formed or registered under the Companies Act 2014.
  • This interpretive rule applies automatically unless the other Act clearly indicates a different intention.
  • This provision overrides the general rule in section 26(2)(f) of the Interpretation Act 2005, which normally governs how references to repealed provisions are read in light of re-enacted legislation.
  • The practical effect is to ensure continuity, so that companies registered under the 2014 Act are recognised wherever older legislation mentions companies registered under the predecessor Acts.
