Transitional provision β€” omission of "unlimited company" or "cuideachta neamhtheoranta" by existing unlimited company

Section 1247 sets out the transitional arrangements allowing existing unlimited companies to temporarily omit the words "unlimited company" or "cuideachta neamhtheoranta" from their name, and explains what happens when that transitional period expires.

  • Existing unlimited companies were given an 18-month transition period from the commencement of this section during which they could omit "unlimited company" or "cuideachta neamhtheoranta" from their name.
  • If a company voluntarily changed its name to include the required words before the transition period expired, the new naming rules applied from the date of that change.
  • At the end of the 18-month period, if the company had not already updated its name, the words "unlimited company" or "cuideachta neamhtheoranta" were automatically deemed to be added to the end of the company's name in its memorandum.
  • Where a company's name was automatically altered in this way, the Registrar was required to issue a fresh certificate of incorporation reflecting the updated name.
