Voting results

Section 1110 sets out the requirements for a traded PLC to record and publish voting results from general meetings, including detailed breakdowns when requested by a member.

  • Where a member requests a full vote account before or on declaration of the result, the traded PLC must establish the number of shares voted, the proportion of issued share capital they represent, total valid votes cast, and votes for and against each resolution (plus abstentions if counted).
  • If no member requests a full account, the traded PLC need only determine voting results to the extent necessary to confirm whether the required majority for each resolution has been reached.
  • Voting results must be published on the traded PLC's website no later than 15 days after the date of the meeting.
  • This section derives from the Shareholders' Rights Directive (2007/36/EC) as transposed by S.I. 316/2009.
