Prohibition of body corporate or unincorporated body of persons being director

Section 130 prohibits the appointment of a body corporate or an unincorporated body of persons as a director of a company and declares any such purported appointment void.

• Only natural persons (i.e. individual human beings) may serve as directors of a company.
• A body corporate — such as another company — cannot be appointed as a director.
• An unincorporated body of persons — such as a partnership or association — likewise cannot be appointed as a director.
• Any purported appointment of a body corporate or unincorporated body as a director is automatically void and has no legal effect.
