Additional provisions concerning notice under section 181 by a traded PLC

Section 1103 sets out the additional requirements that a traded public limited company must follow when issuing notices of general meetings, including rules on content, distribution, and website publication.

  • Notices of general meetings (annual or extraordinary) must be issued free of charge using media that ensure fast, non-discriminatory access throughout all EU Member States.
  • The notice must include the meeting date, location, agenda, participation and voting procedures, proxy appointment rights, the record date for voting eligibility, and details of any electronic platform if the meeting is held wholly or partly online.
  • The traded PLC must publish the notice, share and voting totals, meeting documents, draft resolutions (or board comments), and proxy/correspondence voting forms on its website for at least 21 consecutive days before the meeting.
  • If voting forms cannot be placed on the website for technical reasons, the company must explain on the website how to obtain hard copies and must post them free of charge to any member who requests them.
