Right to ask questions

Section 1107 sets out the right of members of a traded public limited company (PLC) to ask questions at general meetings and the circumstances in which the company may decline to answer.

  • Members of a traded PLC have the right to ask questions related to items on the agenda of a general meeting and to have those questions answered by the company
  • The PLC may take reasonable measures to verify the identity of the member asking a question
  • The company is not obliged to answer where doing so would unduly interfere with meeting preparation or affect confidentiality and business interests, or where the answer is already available on the company's website via a question and answer forum
  • The chairperson of the meeting may also decline to allow a question to be answered if doing so would be undesirable in the interests of good order at the meeting
